Terms of Use

Welcome to Nexlify. These Terms of Use ("Terms") govern your access to and use of the Nexlify mobile application (the "App") operated by Mandermos Ltd. Şti. ("we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you confirm that you have your parent or guardian's consent to use the App.

2. Account Registration

• You must create an account to access most features of the App. You agree to provide accurate and complete information during registration and to keep your account information up to date.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You may not transfer, sell, or share your account with any other person. Each user must have their own account.
• We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms.

3. User Content

3.1 Ownership

You retain ownership of the content you create and share on the App ("User Content"). By posting User Content, you grant Nexlify a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, distribute, display, and perform your User Content in connection with operating and improving the App.

3.2 Content Responsibility

You are solely responsible for all User Content you post. You represent and warrant that you own or have the necessary rights to post the content, your content does not violate any third-party rights, and your content complies with these Terms and all applicable laws.

3.3 Prohibited Content

You agree not to post, upload, or share content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful.
• Contains sexually explicit material or nudity.
• Promotes violence, terrorism, or self-harm.
• Infringes on any intellectual property or other proprietary rights.
• Contains malware, spam, or deceptive content.
• Impersonates any person or entity.
• Exploits or endangers minors in any way.
• Contains personal or confidential information of others without their consent.
• Violates any applicable law or regulation.

3.4 Content Moderation

We reserve the right, but are not obligated, to review, remove, or disable access to any User Content at our sole discretion, without prior notice, for any reason.

4. Acceptable Use

When using the App, you agree not to:

• Use the App for any unlawful purpose.
• Harass, bully, intimidate, or threaten other users.
• Collect or harvest personal information of other users without their consent.
• Use automated systems (bots, scrapers, etc.) to access the App.
• Interfere with or disrupt the App, servers, or networks.
• Attempt to gain unauthorized access to any part of the App.
• Use the App to distribute unsolicited promotional material or spam.
• Create multiple accounts for deceptive or abusive purposes.
• Circumvent any content filtering or moderation measures.
• Use the App in any manner that could damage, disable, or impair its functionality.

5. Live Streaming, Voice Rooms, and Video Rooms

• Live streaming, voice rooms, and video rooms are interactive features that allow real-time communication with other users. All content shared through these features must comply with these Terms.
• You are responsible for your conduct during live sessions. Inappropriate behavior, including harassment, nudity, hate speech, or illegal activity, will result in immediate termination of your session and may lead to account suspension or permanent ban.
• We do not guarantee the availability or uninterrupted operation of live features. We may terminate any live session at our discretion.

6. Intellectual Property

• The App, including its design, features, graphics, logos, and software, is owned by Mandermos Ltd. Şti. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our written permission.
• The Nexlify name, logo, and all related trademarks are the property of Mandermos Ltd. Şti. You may not use them without our prior written consent.
• If you believe your intellectual property rights have been infringed by content on the App, please contact us at support@nexlify.one.

7. Third-Party Services

The App may integrate with or contain links to third-party services, websites, or content. We do not control and are not responsible for any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and policies.

8. Reporting and Blocking

Users can report inappropriate content or behavior through the in-app reporting feature. Users can also block other users to prevent further interaction. We investigate reports and take appropriate action in accordance with our policies.

9. Subscriptions and In-App Purchases

9.1 Subscription Plans

Nexlify offers auto-renewable subscription plans (such as "VIP Monthly" and "VIP Yearly") and consumable in-app purchases (such as token and coin packages). Details of available subscription plans, including titles, durations, and pricing, are displayed within the App before purchase.

9.2 Payment and Billing

• Payment will be charged to your Apple ID account (on iOS) or Google Play account (on Android) at the time of purchase confirmation.
• Subscription prices are displayed in your local currency within the App and may vary by region.

9.3 Auto-Renewal

• Subscriptions automatically renew unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same subscription price.
• You can manage and cancel your subscriptions at any time by going to your device settings:
  iOS: Settings → Apple ID → Subscriptions
  Android: Google Play Store → Subscriptions

9.4 Free Trials

• If a free trial is offered, any unused portion of the free trial period will be forfeited when you purchase a subscription.
• Free trial eligibility is determined by the App Store or Google Play and may be limited to one trial per user.

9.5 Cancellation

• You may cancel your subscription at any time through your device's subscription management settings.
• Cancellation takes effect at the end of the current billing period. You will continue to have access to subscription benefits until the end of the period you have already paid for.
• No refunds will be provided for any unused portion of a subscription period.

9.6 Token and Coin Packages

• Token and coin packages are consumable in-app purchases. Once purchased, tokens and coins are added to your account balance and can be used within the App for virtual gifts, features, and other services.
• Consumable purchases are non-refundable except as required by applicable law.

9.7 Price Changes

We reserve the right to change subscription prices at any time. Price changes will take effect at the start of the next subscription period following the date of the price change. Your continued use of the subscription after the price change constitutes your agreement to the new price.

10. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be uninterrupted, error-free, or free of viruses or other harmful components. We are not responsible for the accuracy, reliability, or completeness of any User Content or third-party content available through the App.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANDERMOS LTD. ŞTİ. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mandermos Ltd. Şti., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the App, your User Content, or your violation of these Terms.

13. Termination

• You may delete your account at any time through Settings → Account → Delete Account. Upon deletion, your account data will be removed in accordance with our Privacy Policy.
• We may suspend or terminate your account at any time, with or without cause and with or without notice. Reasons for termination include, but are not limited to, violation of these Terms, fraudulent activity, or extended periods of inactivity.
• Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive termination will remain in effect.

14. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Turkey. Any dispute arising from or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of Sakarya, Turkey.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or by other appropriate means. Your continued use of the App after the effective date of any changes constitutes your acceptance of the revised Terms.

16. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mandermos Ltd. Şti. regarding your use of the App.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights under these Terms. We may assign our rights without restriction.
